The website available at https://cloudscore.ai (the “Website”) is operated by CloudScore Solutions Private Limited (formerly ABN Tech Innovations Pvt. Ltd.) doing business as CloudScore.ai (“CloudScore.ai,” “we,” “us,” or “our”). The Website is hosted on secure cloud infrastructure.
By accessing or using the Website and any products, software, or services offered through it (collectively, the “Services”), you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, do not use the Services.
1) Eligibility & Accounts
1.1 Eligibility. You represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
1.2 Account Security. You are responsible for safeguarding your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.
2) Communications
By using the Services or contacting us electronically, you consent to receive communications from us (e.g., emails, in-product notices). You may opt out of promotional emails at any time; transactional/operational messages may still be sent.
3) Purchases, Billing & Taxes
3.1 Accurate Information. If you purchase Services or paid features, you agree to provide current, complete, and accurate billing information.
3.2 Payment Processing. Payments may be processed by secure third-party processors. You authorize us (and our processors) to charge your payment method for applicable fees, taxes, and any renewal amounts.
3.3 Pricing & Changes. We may change prices or introduce new charges with reasonable prior notice, subject to your right to cancel before renewal.
4) Subscriptions, Renewals & Cancellations
4.1 Auto-Renewal. Unless otherwise stated, subscriptions auto-renew for successive periods at the then-current rate until cancelled.
4.2 Failed Payments. If a charge is declined, we may retry, issue an invoice, or suspend/terminate access until payment is made.
4.3 Cancellation. You can cancel at any time via the account settings or by contacting support; cancellation takes effect at the end of the current term.
5) Free Trials & Beta Features
5.1 Trials. If a free trial is offered, charges begin after the trial unless you cancel before it ends. We may modify or withdraw trials at our discretion.
5.2 Beta. Beta or pre-release features are provided “as is,” may be changed or discontinued at any time, and may not be covered by support or SLAs.
6) User Content & Feedback
6.1 License. If you submit content (e.g., feedback, reviews, suggestions), you grant CloudScore.ai a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, and display such content for operating, improving, and promoting the Services.
6.2 Prohibited Content. You will not submit content that is unlawful, infringing, defamatory, obscene, or that violates third-party rights.
7) Acceptable Use
You agree not to: (a) reverse engineer, decompile, or attempt to access source code; (b) interfere with or disrupt the Services; (c) bypass security or access controls; (d) use the Services to transmit malware, spam, or illegal content; (e) misrepresent your identity or affiliation; (f) use the Services in violation of applicable laws or third-party rights.
8) Intellectual Property
All content and materials on the Website (including text, graphics, software, and logos) are the property of CloudScore.ai or its licensors and are protected by intellectual property laws. Except as expressly permitted, no rights are granted to you by implication or otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW IN INDIA AND THE UNITED STATES, CLOUDSCORE.AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO CLOUDSCORE.AI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
(Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the fullest extent permitted by law.)
15) Indemnification
You will indemnify, defend, and hold harmless CloudScore.ai and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.
16) Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of:

India, for users contracting with CloudScore Solutions Private Limited; and
-
Texas, United States, for users contracting under CloudScore.ai’s U.S. operations.
Subject to any applicable consumer law that provides otherwise, the courts located in Hyderabad, India or Texas, United States (depending on the contracting entity) shall have exclusive jurisdiction over disputes.
17) Copyright Infringement / DMCA Notice
If you believe your copyrighted work has been used in a way that constitutes infringement, please send a detailed notice to marketing@cloudscore.ai including:
(a) a description of the copyrighted work;
(b) the specific URL(s) of the allegedly infringing material;
(c) your contact information;
(d) a statement of good-faith belief that the use is not authorized; and
(e) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized agent;
(f) your physical or digital signature.
18) Export & Compliance
You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to sanctions or export restrictions. You agree to comply with all applicable export control and sanctions laws.
19) Force Majeure
We will not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, labor disputes, internet or hosting failures, power outages, government actions, or natural disasters.
20) Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets or by operation of law.
21) Severability; No Waiver
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of such right or provision.
22) Entire Agreement & Order of Precedence
These Terms, together with any order form, service-specific terms, and our Privacy Policy, constitute the entire agreement between you and CloudScore.ai regarding the Services and supersede all prior or contemporaneous understandings. To the extent of any conflict, an executed order form (or service-specific terms) will prevail over these Terms.
23) Changes to These Terms
We may update these Terms from time to time. The updated version will be effective when posted on the Website (or as otherwise stated). Your continued use of the Services after changes become effective constitutes acceptance.
24) Refund Policy
All purchases and subscriptions made through CloudScore.ai are final. We do not provide refunds for any Services, including partially used subscription periods. Please review service details carefully before purchasing. (Local mandatory consumer rights, if any, remain unaffected.)
